1. Agreement to Terms

By accessing or using the services provided by FutureFWD LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use our services.

2.Services

FutureFWD LLC provides digital marketing and customer engagement solutions including gamification platforms, business directories, and marketing automation services (collectively, the “Services”). Our Services include but are not limited to:

∙ QRewardR gamification and customer engagement platform

∙ Go SoCo Go LoCo business directory services

∙ Blast Creative marketing automation and agency services

3. Subscriptions and Billing

3.1 Subscription Terms

Certain Services are offered on a subscription basis with monthly billing cycles. By subscribing, you authorize us to charge your designated payment method on a recurring basis.

3.2 Billing and Payment

∙ Subscriptions are billed monthly in advance

∙ Payment is due on the subscription start date and each monthly anniversary thereafter

∙ You are responsible for providing accurate and current billing information

∙ We use third-party payment processors (including Stripe) to process payments

3.3 Cancellation and Refunds

∙ You may cancel your subscription at any time without penalty

∙ Cancellations take effect at the end of the current billing period

∙ No refunds or prorated credits are provided for partial billing periods

∙ Upon cancellation, you retain access to the Services through the end of your paid billing period

∙ After cancellation, your access to subscription Services will terminate

3.4 Price Changes

We reserve the right to modify subscription pricing with at least 30 days’ notice. Price changes will take effect at the start of your next billing cycle after notice is provided.

4. User Accounts and Responsibilities

4.1 Account Creation

You may be required to create an account to access certain Services. You agree to:

∙ Provide accurate, current, and complete information

∙ Maintain the security of your account credentials

∙ Notify us immediately of any unauthorized access

∙ Accept responsibility for all activities under your account

4.2 Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

∙ Violate any applicable laws or regulations

∙ Infringe upon intellectual property rights of others

∙ Transmit malicious code, viruses, or harmful content

∙ Attempt to gain unauthorized access to our systems

∙ Use the Services to harass, abuse, or harm others

∙ Engage in any fraudulent or deceptive practices

5. Service Availability and Performance

5.1 “As-Is” Provision

Our Services are provided “as is” and “as available” without warranties of any kind, either express or implied.

5.2 No Uptime Guarantee

We do not guarantee continuous, uninterrupted, or error-free operation of our Services. Our Services rely on third-party platforms (including Go High Level and other service providers), and we are not responsible for outages, interruptions, or service degradation caused by these third-party dependencies.

5.3 Maintenance and Updates

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, for maintenance, updates, or other reasons.

6. Intellectual Property

6.1 Our Property

All content, features, functionality, software, and materials available through our Services, including but not limited to text, graphics, logos, images, and software, are owned by FutureFWD LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose in accordance with these Terms.

6.3 User Content

You retain ownership of any content you submit, post, or display through our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our Services.

7. Third-Party Services and Links

Our Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, accuracy, privacy practices, or functionality of third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

8. Limitation of Liability

To the maximum extent permitted by law:

∙ FutureFWD LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services

∙ Our total liability for any claims related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim

∙ We are not liable for losses or damages caused by third-party service providers, internet connectivity issues, or circumstances beyond our reasonable control

9. Indemnification

You agree to indemnify, defend, and hold harmless FutureFWD LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

∙ Your use of the Services

∙ Your violation of these Terms

∙ Your violation of any rights of another party

∙ Any content you submit or transmit through the Services

10. Termination

10.1 Termination by You

You may terminate your account and subscription at any time as described in Section 3.3.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to the Services immediately, without prior notice, if:

∙ You violate these Terms

∙ You engage in fraudulent or illegal activity

∙ Your account poses a security risk

∙ We are required to do so by law

10.3 Effect of Termination

Upon termination, your right to access and use the Services immediately ceases. Sections of these Terms that by their nature should survive termination shall remain in effect, including but not limited to Sections 6, 8, 9, 11, and 12.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles.

11.2 Jurisdiction

You agree that any legal action or proceeding arising from these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts.

11.3 Informal Resolution

Before filing any formal legal action, you agree to contact us at [email protected] to attempt to resolve the dispute informally.

12. General Provisions

12.1 Entire Agreement

These Terms constitute the entire agreement between you and FutureFWD LLC regarding the Services and supersede all prior agreements and understandings.

12.2 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new “Last Updated” date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

12.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.5 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
